Normyn Terms of Service and End User License Agreement

These Terms of Service and End User License Agreement (the "Terms") are a legal agreement between you and Normyn LLC, a Texas limited liability company ("Normyn," "we," "us," or "our"). They govern your access to and use of the Normyn website at normyn.com, the Normyn web and mobile applications, and related services (together, the "Service").
By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms. If you are using the Service on behalf of a business or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.
1. The Service
Normyn is accounting software for small businesses. It helps you record transactions, manage invoices and bills, connect bank and payment accounts, import data from other accounting systems, process documents, and produce financial reports. Some features use artificial intelligence ("AI Features").
Early access. The Service is currently offered as an early-access or beta program. Features may be incomplete, may change or be removed, and may contain errors. We may limit participation, and we may suspend or end the beta program at any time. We recommend keeping independent records of important financial information during early access.
2. Not Professional Advice
Normyn is a software tool. Normyn does not provide accounting, tax, legal, financial, investment, or payroll advice, and use of the Service does not create an accountant–client or any other professional relationship. Reports, categorizations, suggestions, explanations, and other outputs are provided to help you maintain your records; they are not a substitute for the judgment of a qualified professional. You are responsible for the accuracy of your books, your tax filings, and your compliance with laws that apply to your business.
3. AI Features
AI Features may, for example, suggest how to categorize transactions, extract information from documents, match records, answer questions about your data, or draft entries and messages.
- Review required. AI outputs can be incorrect or incomplete. AI suggestions are drafts until you (or a user you authorize) approve them, unless you choose to enable automatic posting for specific rules. You are responsible for reviewing outputs before relying on them.
- Automatic posting. If you enable automatic posting, you authorize Normyn to record transactions matching the rules and thresholds you set, and you remain responsible for reviewing those entries.
- Calculations. Financial figures in Normyn reports are calculated from the data recorded in your account, not generated by AI.
- Third-party AI providers. AI Features are powered in part by third-party AI service providers. How we share data with them is described in our Privacy Policy.
4. Accounts and Security
- You must be at least 18 years old and able to form a binding contract to use the Service.
- You must provide accurate account information and keep it current.
- You are responsible for all activity under your account and for the users you invite. You decide which users can access your company's data and what they can do.
- Keep your credentials confidential and use multi-factor authentication where available. Notify us promptly at support@normyn.com if you believe your account has been compromised.
- Accountants and bookkeepers who access a client's company in Normyn do so under the client's authorization and are responsible for their own professional obligations to that client.
5. Your Data
You own your data. "Customer Data" means the data, documents, and information you or your users submit to the Service or that we import on your instructions, including financial records.
- License to us. You grant Normyn a limited license to host, copy, process, transmit, and display Customer Data only as needed to provide, secure, support, and maintain the Service, and as described in our Privacy Policy.
- Service improvement. We may use Customer Data in de-identified and aggregated form to improve the Service, including our AI Features. "De-identified" means data that has been processed so it cannot reasonably be linked to you, your business, or any individual; we will not attempt to re-identify it. We do not use identifiable Customer Data to train AI models used for other customers. You may opt out of this use in your account settings or by contacting support@normyn.com.
- Export. You may export your Customer Data at any time while your account is active, in commonly used formats.
- Your responsibilities. You represent that you have the rights and any required consents to submit Customer Data to the Service, including personal information about your employees, contractors, customers, and vendors.
- Accuracy of imported data. When you import data from another system, the Service reproduces what that system provides. Normyn provides verification tools to compare imported data against the source, but you are responsible for reviewing imported results before relying on them.
6. Connected Services
The Service lets you connect third-party services, such as QuickBooks Online (Intuit), bank data providers (such as Plaid), payment processors (such as Stripe), and payroll or tax providers ("Connected Services").
- When you connect a Connected Service, you authorize Normyn to access and retrieve data from it on your behalf, and, where you instruct us, to send data to it.
- Your use of a Connected Service is governed by that provider's terms and privacy policy. Normyn is not responsible for Connected Services, their availability, their data accuracy, or changes they make to their access or pricing.
- You can disconnect a Connected Service at any time in your Normyn settings or through the provider. Disconnecting stops future data access; data already imported remains in your Normyn account unless you delete it.
- Payment processing, if offered, is provided by third-party processors and may be subject to their separate terms, which you must accept to use those features.
7. License and Restrictions
Subject to these Terms, Normyn grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service, and to install and use any Normyn mobile or desktop application, for your internal business purposes during your subscription.
You will not, and will not allow anyone else to:
- copy, modify, or create derivative works of the Service, except as permitted by law;
- reverse engineer, decompile, or attempt to extract source code, except to the extent applicable law permits despite this restriction;
- sell, resell, rent, or sublicense the Service, or use it to provide a competing service;
- access the Service by automated means except through interfaces we provide or permit;
- interfere with or disrupt the Service, bypass security or usage limits, or probe or test vulnerabilities without our written permission;
- use the Service for unlawful purposes, including fraud, money laundering, or recording transactions you know to be false;
- upload malicious code or content that infringes others' rights; or
- use the Service in violation of the terms of any Connected Service.
Normyn and its licensors retain all rights, title, and interest in the Service, including all software, designs, and trademarks. Feedback you give us may be used without obligation to you.
8. Fees and Payment
- Early access. Access during the early-access program may be free or discounted as described when you join.
- Paid plans. When paid plans are offered, fees, billing periods, and plan features will be shown at purchase. You authorize us (or our payment processor) to charge your payment method for fees and applicable taxes on a recurring basis until you cancel.
- Changes. We will give at least 30 days' notice of fee increases, which take effect at your next billing period.
- Refunds. Except where required by law or stated otherwise at purchase, fees are non-refundable.
- Non-payment. We may suspend paid features if payment fails after reasonable notice.
9. Term, Cancellation, and Termination
- You may cancel at any time in your account settings. Cancellation takes effect at the end of your current billing period.
- We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. Where reasonable, we will give notice and an opportunity to cure.
- Data after termination. After your account ends, you will have 60 days to export your Customer Data. After that period, we will delete Customer Data from active systems within a reasonable time, and from backups on their normal rotation schedule, except where retention is required by law.
- Sections that by their nature should survive termination will survive, including Sections 2, 5 (as to your ownership), 7 (restrictions and ownership), and 10 through 14, including the arbitration provisions in Section 14.
10. Disclaimers
THE SERVICE, INCLUDING AI FEATURES AND EARLY-ACCESS FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NORMYN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NORMYN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT OUTPUTS (INCLUDING AI OUTPUTS AND IMPORTED DATA) WILL BE ACCURATE OR COMPLETE, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NORMYN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, TAX PENALTIES OR INTEREST, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY.
NORMYN'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID NORMYN FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12. Indemnification
You will defend, indemnify, and hold harmless Normyn and its officers, employees, and agents from third-party claims, and related losses and reasonable costs (including attorneys' fees), arising from your Customer Data, your use of the Service in violation of these Terms or law, or your use of Connected Services.
13. Changes to the Service and These Terms
We may update the Service over time. We may update these Terms; if a change is material, we will notify you by email or in the Service at least 30 days before it takes effect, unless the change is required by law sooner. Continuing to use the Service after changes take effect means you accept them.
14. General
- Governing law. These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules.
- Disputes and arbitration. Please read this section carefully; it affects your rights.
- Informal resolution first. Before starting arbitration, a party must send the other a written description of the dispute (to Normyn at support@normyn.com and 3 Mariposa Pkwy W, Boerne, TX 78006), and the parties will try in good faith to resolve it for 30 days.
- Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. The arbitration will take place in Kendall County, Texas, unless the parties agree to another location or to a hearing by video conference or written submissions. Judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this section.
- Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or to stop unauthorized use of the Service.
- No class actions. Disputes will be resolved only on an individual basis. Neither party may bring or participate in a class, collective, consolidated, or representative action or arbitration.
- Jury waiver. To the extent any dispute proceeds in court, both parties waive the right to a jury trial.
- Severability. If the class-action waiver is found unenforceable for a claim, that claim will proceed in the state or federal courts located in Kendall County, Texas, and not in arbitration.
- Entire agreement. These Terms, together with our Privacy Policy and any order terms you accept, are the entire agreement between you and Normyn about the Service.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Severability and waiver. If any provision is unenforceable, the rest remain in effect. Failure to enforce a provision is not a waiver.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control (other than payment obligations).
- Notices. We may send notices to the email address on your account. You may send notices to support@normyn.com and 3 Mariposa Pkwy W, Boerne, TX 78006.
- Electronic communications. You agree to receive communications from us electronically.
